Terms and Conditions

2023 Economics of Mutuality Executive Education Programme at Oxford University’s Saïd Business School

Please read carefully. This page contains important information about your contract with the Economics of Mutuality (EoM) Solutions organization.

Contract with EoM Solutions

1.    The purpose of these Terms and Conditions is to set out the contractual basis for your relationship with EoM Solutions, and to draw your attention to key terms.

2.    Your contract with EoM Solutions for the purpose of your participation in the EoM Executive Education programme at Oxford University is made up of:

  • a.  these Terms and Conditions,

  • b.  the programme description on the programme web page which is available through https://eom.solutions/oxford-eom-executive-education (and you should consider printing a copy of this page as a record of the information provided),

  • c.  the offer letter or email from EoM Solutions / Oxford University’s Saïd Business School (the EoM partner administering the EoM course).

3.    Your offer of a place in the EoM Executive Education course is set out in the offer letter or email from Oxford University’s Saïd Business School (the “Offer”) on behalf of EoM Solutions. By being nominated by your Mars segment or function, you enter into your contract with EoM Solutions.

Your responsibilities

4.    It is your responsibility:

  • a.    To act as a responsible member of the EoM and Oxford University community, including treating other members of the community, fellow programme participants and the public with courtesy and respect.

  • b.    To comply with any other reasonable instructions in relation to delivery of the programme (eg other health and safety requirements, confidentiality, use of devices in sessions and complying with licence terms on programme materials).

  • c.    To attend all teaching sessions, arrive promptly, carry out all relevant preparation for programme sessions and engage fully with programme activities.

  • d. If applicable, to get all necessary visas, permissions and consents required for their stay in the United Kingdom and attendance of the Programme.

5.    If you fail to comply with the above clauses without proper reason, EoM Solutions and the Saïd Business School reserve the right to exclude you from sessions or from the programme as a whole (and to notify your nominating segment or function leadership) to ensure your behaviour does not have a detrimental effect on other participants. If you are excluded from the programme or if (without reasonable excuse) you do not attend all teaching sessions of the programme, you will not receive a certificate of attendance or an invitation to join the EoM Practitioner Network.

Confidentiality & Intellectual Property

6. The Participants agree that they will keep in strict confidence any information, materials or ideas of a confidential or proprietary nature (including but not limited to technical, business, commercial and financial information, information forming part of the design and content of the Programme, pre-read materials, specific case studies, elements of surveys to measure non-financial forms of capital, Bridge frameworks) disclosed in any form or medium at any time under or in connection with the Programme, and will not copy, reveal or disclose such confidential information to any third party other than Participants or faculty members who legitimately have a need to know it for the purpose of taking part in or delivery of the Programme, or post any of the aforesaid information, materials or ideas on any public website.

7.  This Agreement shall not apply to any information, materials and ideas which:

a)     at the date of this Agreement are in the public domain or subsequently come into the public domain through no fault of theirs;

b)     were already known to them on the date of disclosure;

c)     properly and lawfully become available to them from other sources;

8. EoM Solutions and the Participant will retain ownership of all intellectual property rights they possess as of now or that they may acquire in any way during the Programme.

Fees and payment

10.  By virtue of the EoM Solutions master agreement with Mars, Incorporated, the fees for your attendance as a Mars associate are part of the annual fixed Mars financial contribution to EoM Solutions, hence, you and your sponsoring unit will not be charged any additional fees.

Cancellations and refunds

11.    Programmes on EoM at the Saïd Business School are usually over-subscribed well in advance of programme commencement, therefore, we strongly urge you not to cancel.  Cancellation could disadvantage Mars if there is insufficient time to fill your place with another Mars associate, as Mars is guaranteed a fixed number of slots per annum and will not be refunded for unfilled slots. Participants are encouraged to ensure they book out the time to attend a programme in their diaries as: (a) over-subscription usually means another potential attendee has missed out on a place and (b) programmes are taught in small groups so reduced numbers due to cancelations may impact the experience of other attendees. 

12.    If your cancellation is unavoidable, please inform your Mars segment or function leadership team as soon as possible and email notification in writing to Mars University (kristina.richter@effem.com).   Please also inform EoM Solutions by email or registered letter to EoM Solutions (Nick.Gulliver@fellows.eom.org or EoM Solutions, The Maison de la Paix, CH E., Rigot 2, Geneva, Switzerland).  Write the name of your programme in the subject-line of your email and at the top of your letter.

Cancellation by us

13.    Where there are good reasons to do so EoM Solutions may cancel your programme and will make every reasonable effort to give you as much notice of cancellation as possible (normally at least 6 weeks prior to the start date). EoM Solutions will endeavour to offer a transfer to another EoM programme running as an alternative. EoM Solutions will incur no liability towards you should it cancel a programme, including if the programme already started.

14.    EoM Solutions will not be in breach of its obligations under its contract with you, nor liable to you for any loss caused to you under its contract with you which results from events which are beyond our reasonable control, such as: a pandemic (Covid-19 or otherwise), an epidemic or a local health emergency necessitating measures to reduce risk of infection or illness; industrial action; acts of God; acts of terrorism; the unanticipated departure or absence of key members of staff; or failure or delay by third party suppliers and subcontractors. In such circumstances EoM Solutions will take reasonable steps to mitigate the impact on you and to restore teaching and services.

Changes to programmes

15.    EoM Solutions will seek to deliver each programme in accordance with the description set out on your programme web page.

16.    However, there may be situations in which it is desirable or necessary for EoM Solutions to make changes in programme provision, either before or after enrolment. EoM Solutions therefore reserves the right to:

  • make reasonable changes to the timetable, location or staff specified for a programme; and

  • make reasonable changes to the content and syllabus of a programme.

Personal data

17.    EoM Solutions will collect and use your information about you in accordance with the principles set out in Oxford University’s Student Privacy Policy at https://www.admin.ox.ac.uk/councilsec/compliance/gdpr/privacynotices/student/. This includes ensuring that your data will only be used in a way which is fair, lawful and secure.

Complaints procedure

18.    If you have a complaint you should submit details to Nick.Gulliver@fellows.eom.org.   

Termination

19.    Save for the obligations under the above section “Confidentiality & Intellectual Property”, your contract with EoM Solutions will end in the following circumstances:

  • when you finish your programme or if you cancel or withdraw from your programme, except for IP related elements that will last for 2 years from the end of the programme; 

  • if EoM Solutions exercises its right to cancel or discontinue your programme; 

  • if you are excluded from a programme; or

  • if you fail to comply with the agreed terms and conditions of the programme.

Jurisdiction

20.    Your contract with EoM Solutions and any dispute arising from it (including non-contractual disputes) shall be governed by Swiss law without regard to its conflicts of law provisions and shall be subject to the exclusive jurisdiction of the Swiss courts where the company has its seat.

The event will take place from April 24 to 25, 2024.
